1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Walljet Cargo platform ("Platform", "Service"), operated by [COMPANY LEGAL NAME], with registered office in Padua, Italy ("Walljet Cargo", "we", "us", "our").
By registering for an account, subscribing to our Service, or otherwise accessing or using the Platform, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.
2. Eligibility
To use the Platform, you must:
- Be at least 18 years of age;
- Be a legal representative or authorized employee of a business entity operating in the air cargo or freight forwarding industry;
- Provide accurate, complete, and current registration information;
- Receive administrative approval from Walljet Cargo before accessing the Service.
We reserve the right to refuse registration or revoke access at our sole discretion, without obligation to provide a reason.
3. Description of Service
Walljet Cargo is a business-to-business (B2B) software-as-a-service (SaaS) platform that provides a search engine for empty leg cargo flights worldwide. The Platform allows registered and approved Users to search, view, and access information about available empty leg flights.
Walljet Cargo acts solely as an information aggregator and search engine. We do not act as an airline, charter operator, freight broker, or intermediary in any flight booking or cargo transport transaction. Flight data displayed on the Platform is provided for informational purposes only.
4. Account Registration and Approval
To access the Platform, you must complete our registration process, which includes providing company information, selecting an account type (Operator / GSA or Broker), choosing a subscription plan, and completing payment.
After registration, your account is subject to review and approval by our administration team. Access to the Platform is granted only after your account has been approved. We are under no obligation to approve any registration request.
You are responsible for maintaining the confidentiality of your account credentials. Each subscription is strictly limited to one user per account. Sharing login credentials or allowing multiple individuals to access the Platform through a single account is prohibited and may result in immediate termination of your account.
5. Subscription Plans and Fees
Access to the Platform requires an active, paid subscription. We offer the following subscription plans:
- Monthly— billed every month
- Quarterly— billed every three months
- Annual— billed every twelve months
Current pricing is displayed on the registration page at the time of purchase. All prices are in Euros (EUR) and are exclusive of applicable taxes unless otherwise stated.
We reserve the right to modify subscription pricing at any time. Any price change will take effect at the start of your next billing cycle, and we will provide advance notice of material price increases.
6. Payment and Billing
All payments are processed securely through Stripe, our third-party payment processor. By providing your payment information, you authorize us to charge the applicable subscription fee.
Payment is required at the time of registration and upon each subscription renewal. If your subscription expires, access to the Platform will be suspended until payment is completed for a new subscription period.
You are responsible for ensuring that your payment information is accurate and up to date. Failed payments may result in suspension of your account.
7. Refund Policy
Due to the digital nature of our Service, all subscription payments are generally non-refundable.
If you believe you are entitled to a refund due to exceptional circumstances (e.g., technical issues preventing access, duplicate charges, or account rejection after payment), please contact us at eleonora.fantinato@walljetcargo.com. Each refund request will be evaluated on a case-by-case basis at our sole discretion.
In compliance with EU consumer protection law (Directive 2011/83/EU), if you are a consumer, you may have the right to withdraw from a digital service contract within 14 days of purchase, provided the service has not been fully performed. By completing your registration and accessing the Platform, you acknowledge and consent to the immediate provision of the Service and waive your right of withdrawal.
8. Subscription Renewal and Cancellation
Subscriptions do not auto-renew. When your subscription period ends, you will need to manually purchase a new subscription to continue accessing the Platform.
You may choose not to renew your subscription at any time. No partial refunds are provided for unused portions of a subscription period.
9. Acceptable Use
You agree not to:
- Share your account credentials with any third party;
- Allow multiple users to access the Platform through a single account;
- Use automated tools, bots, scrapers, or similar technology to access or extract data from the Platform;
- Copy, reproduce, distribute, or commercially exploit any data or content from the Platform without prior written consent;
- Attempt to interfere with, compromise, or disrupt the Platform's infrastructure or security;
- Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
- Provide false, misleading, or fraudulent information during registration or use of the Service;
- Resell, sublicense, or otherwise transfer your access to the Platform to third parties.
Violation of these rules may result in immediate suspension or termination of your account without refund or prior notice.
10. Intellectual Property
All content, data, software, trademarks, logos, and other materials available on the Platform are the property of Walljet Cargo or its licensors and are protected by applicable intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes only. This license does not include the right to copy, redistribute, or create derivative works from any Platform content.
11. Disclaimer of Warranties
The Platform and all flight data are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
Walljet Cargo does not guarantee the accuracy, completeness, reliability, or timeliness of any flight data displayed on the Platform. Flight availability, schedules, and details are subject to change without notice and are provided by third-party sources.
We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. You use the Platform at your own risk.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Walljet Cargo, its directors, employees, and affiliates shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, data, business opportunities, or goodwill;
- Damages arising from reliance on flight data or information provided through the Platform;
- Damages resulting from unauthorized access to or alteration of your account or data;
- Any claims arising from transactions or agreements between you and third parties (including airlines, operators, or brokers) facilitated or informed by data found on the Platform.
In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid for your most recent subscription period.
13. Indemnification
You agree to indemnify, defend, and hold harmless Walljet Cargo and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your use of the Platform;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Any content or information you provide through the Platform.
14. Account Suspension and Termination
We may suspend or terminate your account at any time, with or without cause, including but not limited to:
- Violation of these Terms or our Acceptable Use policy;
- Non-payment or failed payment for a subscription;
- Suspected fraudulent, abusive, or illegal activity;
- At our discretion, for any reason with reasonable notice.
Upon termination, your access to the Platform will be revoked immediately. No refund will be provided for any remaining subscription period unless required by applicable law.
15. Data Protection
Your personal data is processed in accordance with our Privacy Policy and applicable data protection legislation, including the General Data Protection Regulation (EU) 2016/679 (GDPR). By using the Platform, you acknowledge that you have read and understood our Privacy Policy.
16. Modifications to the Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Platform at least 30 days before they take effect.
Your continued use of the Platform after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.
17. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Italian Republic, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the Court of Venice, Italy.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Walljet Cargo regarding your use of the Platform and supersede all prior agreements, communications, and understandings, whether written or oral.
